Copyright laws. All copyright, trademark, and other proprietary rights in the Molconn Site as
well as its software, text, graphics, design elements, and all other materials incorporated or
used by Hall Associates Consulting at its site are reserved to Hall Associates Consulting
and its licensors.
You may not reproduce any part of the Molconn Web Site content or information accessed at other
sites through links made via the Molconn Site other than downloading portions or printing out
portions of the text and images for your own personal, non-commercial use. You may not add,

Collection and Storage of Information |

Hall Associates Consulting does not screen,
edit or review material submitted by users who access the Molconn Site and/or directly the
Molconn Secure Site ("Secure Site") for the purpose of obtaining Molconn Strucutre Description
Indices on submitted material. Molconn provides 128-bit encryption to users of its "Secure Site"
when a user transmits compound structures through common Web Browsers to be processed by our
demonstration software.
Hall Associates Consulting accepts no responsibility or liability
for any material sent to its Secure Site. Such material may reside temporarily on our Web Server
or any of its parallel servers while being processed. Since Hall Associates Consulting has no
obligation to review or edit materials submitted by users, such materials may be removed by
Hall Associates Consulting at any time for any reason. Such loss of user submitted material is not
the responsibility of Hall Associates Consulting. |

Exclusions of Warranties |

No warranties of any kind are made with
respect to the Molconn Site, Molconn Information (site content), or Molconn
molecular structure description idnices for organic compounds, whose structures were submitted
by the user.
HALL ASSOCIATES CONSULTING DOES NOT WARRANT THAT THE MOLCONN SITE OR MOLCONN DESCRIPTOR
VALUES WILL MEET YOUR REQUIREMENTS, WILL BE ACCURATE, OR WILL BE UNINTERRUPTED OR ERROR
FREE. WE EXPRESSLY EXCLUDE AND DISCLAIM ALL EXPRESSED AND IMPLIED WARRANTIES OF MERCHANTABILITY
AND FITNESS FOR A PARTICULAR PURPOSE. WE SHALL NOT BE RESPONSIBLE FOR ANY DAMAGE OR LOSS OF ANY
KIND ARISING FROM OR RELATED TO YOUR USE OF THE MOLCONN SITE AND/OR THE MOLCONN SECURE SITE FOR

Responsibility Regarding Compound Submission and Return of Results |

All material sent and uploaded to the Molconn
Secure Site for the purpose of Molconn structure description indices on such material is the sole
responsibility of the user in terms of the user's legal right to make such a transmission to the
Molconn Secure Site. Hall Associates Consulting bears no legal responsibility for any and all
illegal actions of users in regard to material sent to the Secure Site. The only responsibliity of
Hall Associates Consulting is to return results constituted by the values of the Molconn structure
description indices in a timely manner. |

Export Controls |
|
Your use of the Moleconn Web Site and/or
the Secure Site will comply with all applicable laws, rules and regulations that govern the
export of technical data. |

Choice of Law and Jurisdiction |

This Molconn Site is managed from our
offices in the State of Massachusetts, United States of America. This Agreement shall be
governed by and construed in accordance with the laws of the State of Massachusetts, without
reference to any conflict of law principles. |

Limitation of Liability |

IN NO EVENT SHALL HALL ASSOCIATES CONSULTING
OR ITS EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE
OR MULTIPLE DAMAGES OF ANY KIND. |

Limitation of Claims |

Any claim against Hall Associates Consulting
must be acted upon by the user within one (1) year following the date the claim first accrued,
or it shall be deemed waived. |

entire agreement between the parties. It may not be modified or amended, except in
writing signed by both parties. |
